Beneficial Ownership Information

The Gibraltar Register of Ultimate Beneficial Owners (RUBOR) was introduced in 2017, following the Register of Ultimate Beneficial Owners, Nominators and Appointors Regulations 2017.

This brought Gibraltar in line with international standards, including the EU’s Fourth Anti-Money Laundering Directive, and created a centralised register to record and maintain information on the individuals who ultimately own or control Gibraltar-registered companies.

 

What is a Beneficial Owner?

A beneficial owner is the natural person who ultimately owns or controls a company. This includes individuals who:

  • Directly or indirectly hold more than 25% of the shares or voting rights,

  • Have the right to appoint or remove the majority of directors, or

  • Otherwise exercise significant influence or control over the company.

The UBO Register ensures transparency and helps prevent money laundering, terrorist financing, and other financial crimes.

Application for exemption under Regulation 31:

Where exceptional circumstances exist, an individual who is a beneficial owner in accordance with RUBOR, or a legal person incorporated in Gibraltar on behalf of its beneficial owner, may make an application to the Registrar to refrain from disclosing its details to obliged entities and members of the public.

Please note that exceptional circumstances are defined in Regulation 32 as the potential risk to the beneficial owner of;

            a)   fraud;

            b)   kidnapping;

            c)   blackmail;

            d)   violence; or

            e)   intimidation.

If you wish to make such application, please complete this form and submit to uboregister@gibraltar.gov.gi.

If your application is unsuccessful you may apply for permission to appeal the decision to the Supreme Court within 28 days from the notification issued by the Registrar.

Reporting of inconsistencies or discrepancies:

In accordance to Regulation 26A of RUBOR, obliged entities must report inconsistencies or discrepancies identified within the Register within 30 days of its discovery.

Please be advised the Register may request further information or clarification from the reporting entity, but the Registrar will not provide any updates or confirmation of any measures taken.

Compliance and Penalties

 Gibraltar incorporated legal persons must ensure that they hold accurate and up to date information on their beneficial owners, and that this information is reported and maintained up to date at the Register of Ultimate Beneficial Owners.

Failure to comply with the requirements set out in RUBOR, for example not providing the necessary information or providing false information, may initiate enforcement action by the Registrar.

The Registrar committed to ensuring that the approach to enforcement is fair and proportionate.

Through enforcement the Registrar seek to achieve:

                    I.            Credible deterrence of unacceptable behaviours by way of real and meaningful consequences;

                  II.            Control and, ultimately, removal of specified persons that pose an unacceptable risk;

                III.            Raised awareness of statutory standards and obligations; and

                 IV.            Prevention of financial crime from non-compliance.

An investigation will be initiated where we have concerns about a specified person’s failure to comply with RUBOR requirements.

The enforcement of compliance is carried out through the following mechanisms:

           a.      Issuance of Warning and Restriction Notices

           b.      Civil Penalties 

           c.      Criminal Penalties 

           d.      Recovery of Penalties through Court 

           e.      Court Orders for Compliance

How do I create a corporate account on the E-Gov portal?

To create a corporate account:

Please contact Companies House at mail@companieshouse.gi to obtain your E-filing credentials.

Once you have received your credentials, register via https://login.egov.gi.

Upon completion of the registration, you will be provided with login credentials.

You may then use these credentials to submit information online via https://uboregister.egov.gi/UboHome, or to conduct searches of the Public Register via https://portal.egov.gi/All-Services/UBO.

 

How do I report a discrepancy in the Public Register?

If you believe there is a discrepancy in the Public Register, we recommend that you first contact the provider of the information directly to seek clarification or correction.

If, after contacting them, you still consider that a discrepancy remains, please notify the UBO Register Team. We will investigate the matter further as appropriate.

 

How do I change the name and address of the company’s management service provider?

To change the name and address of the company’s management service provider, create a new application.

Complete Part A only —This section includes the address of the registered office and the name of the TCSP. The new information will override the details already held on the system. The name and company number (EICN)  must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

Please note, that changes made will not be reflected in the Public Register until the following day.

When creating an XML submission the % voting rights and ownership of shares do not reflect the submitted values of “NaN”. How can I fix this?

Unfortunately, the system does not support “NaN” values. You must re-submit the UBO, with a value of 0 instead. While we acknowledge that this is not equivalent to NaN, it is the closest alternative the system can currently accommodate.

 

How can I carry out a search of the Public Register?

You may conduct a search of the UBO Public Register via the following link: https://portal.egov.gi/All-Services/UBO. 

 

How can I access my historical submissions?

You can view your historical submissions by logging into your account and selecting “Submission” from the top menu. Then, choose “View online submission history” to obtain copies of your previous submissions. Alternatively, you may carry out a search of the Public Register via https://portal.egov.gi/All-Services/UBO

 

How do I obtain the latest information from the Register?

To obtain the most up-to-date information available on the Register, you will need to carry out a search via https://portal.egov.gi/All-Services/UBO. Please note that any changes made to the Register should appear from 2 a.m. the following day.

  

How do I change the percentage of shares of a UBO?

To change the percentage of shares, create a new application.

Complete Part A — The name and company number (EICN)   must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

If you are changing a UBO only, complete Part B. If you are changing a Senior Manager only, complete Part C.

Complete Part B or C — Keep all details the same as your previous submission. Name and date of birth must match exactly and update the percentage. You only need to make one entry.

Please note, that changes made will not be reflected in the Public Register until the following day.

 

How do I change the name and address of the company’s management service provider?

To change the name and address of the company’s management service provider, create a new application.

Complete Part A only —This section includes the address of the registered office and the name of the TCSP. The new information will override the details already held on the system. To change the address of the company’s UBO or Senior Managers, create a new application.

Complete Part A —The name and company number (EICN)   must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

If you are changing a UBO only, complete Part B. If you are changing a Senior Manager only, complete Part C.

Complete Part B or C — Include only the individual whose address will be changing. Keep all details the same as your previous submission, name and date of birth must match exactly and include their new address.

 Please note, that changes made will not be reflected in the Public Register until the following day.

  

How can I remove a single UBO from the Public Register?

To remove a single UBO, create a new application.

Complete Part A —The name and company number (EICN)   must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

If you are removing a UBO only, complete Part B. If you are removing a Senior Manager only, complete Part C.

Complete Part B — Include only the name and date of birth of the individual being removed - it must match exactly as your previous submission. Enter a cease date and submit. It is advisable to set the sharing and voting rights to 0% to avoid any confusion, especially where there are multiple entries or changes to UBOs.

Complete Part C— Include only the name and date of birth of the individual being removed - it must match exactly as your previous submission. Enter a cease date and submit.

Please note, that changes made will not be reflected in the Public Register until the following day.

 

How can I remove all UBOs from the Public Register, such as in the case of a company liquidation?

To remove all UBO’s, create a new application.

Complete Part A—The name and company number (EICN)   must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

If you are removing a UBO only, complete Part B. If you are removing a Senior Manager only, complete Part C.

Complete Part B —The name and date of birth must match exactly as your previous submission. Enter a cease date for all parties.

CompletePart C —The name and date of birth of the individual being removed must match exactly as your previous submission. Enter a cease date and submit.

Please note, that changes made will not be reflected in the Public Register until the following day.

 

I have identified an error in a UBO submission, either the name or date of birth is incorrect. How can I correct this?

To fix this error, you must cease the incorrect UBO and create a new submission.

To cease the UBO you must:

Create a new submission.

The name and company number must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

If you are ceasing a UBO only, complete Part B. If you are ceasing a Senior Manager only, complete Part C.

Complete Part B — Include only the name and date of birth of the individual being removed,  it must match exactly the information in the original submission containing the error. Please ensure the error is included. Enter a cease date and submit. It is advisable to set the sharing and voting rights to 0% to avoid any confusion, especially where there are multiple entries or changes to UBOs.

Complete Part C — Include only the name and date of birth of the individual being removed, it must match exactly as your previous submission. Enter a cease date and submit.

You then must create a new submission with all the correct information:

Complete Part A — The name and company number must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

Complete Part B or Part C — Include only the correct details of the individual who had the error. Make sure all information is accurate—the name and date of birth must match exactly.

Please note, that changes made will not be reflected in the Public Register until the following day.

 

A UBO is appearing twice in the Public Register. Why has this happened, and how can I resolve it?

A duplicate UBO may appear in the Public Register if there is a discrepancy in the name or date of birth compared to previous submissions. For example, if a previous submission did not include the individual’s middle name but the new one does, the system will treat it as a different person and create a new entry instead of updating the existing record. To remove a duplicate UBO, you must cease the UBO with the discrepancy.

To cease the UBO you must:

Create a new submission.

Complete Part A — The name and company number must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

If you are ceasing a UBO only, complete Part B. If you are ceasing a Senior Manager only, complete Part C.

Complete Part B — Include the name and date of birth of the individual being removed only - it must match exactly the information in the original submission containing the error. Please ensure the error is included. Enter a cease date and submit. It is advisable to set the sharing and voting rights to 0% to avoid any confusion, especially where there are multiple entries or changes to UBOs.

Complete Part C — Include the name and date of birth of the individual being removed only - it must match exactly as your previous submission. Enter a cease date and submit.

Please note, that changes made will not be reflected in the Public Register until the following day.

 

If no individuals meet the threshold of 25% plus one share, what should I do?

If no persons meet this criterion, you must include the details of the Senior Managing Officials in Part C of the UBO form.

 

How do I remove a duplicate company entry from the UBO Register (for example, “Company Group Limited” and “Company Group Ltd”)?

If a company has been duplicated on the UBO Register (for example, where similar company names have resulted in multiple entries), you must first confirm in writing which company you wish to keep active. Our IT team will then remove the inactive company from the Public Register.

 

We are a company management service providers who has resigned our services to a company. How do we reflect this change?

 

To remove yourself as a company’s management service provider, please create a new application.

 

Complete Part A:

 

A1&A2 – Include the name and company number (EICN) - it must match exactly; otherwise,  the system will create a new entry rather than updating the existing record.

 

A3 – Please state “the company does not have authority to use this address it has registered which was – ”.

 

A4 – Full name: ceased to provide services on (include date  here). Address: leave blank

To cease the UBO you must:

Create a new submission.

 

Complete Part A — Include the name and company number (EICN) - it must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

 

If you are ceasing a UBO only, complete Part B. If you are ceasing a Senior Manager only, complete Part C.

 

Complete Part B or C — Include only the details of the UBO who has changed their name. The name and date of birth of the individual being removed must match exactly the information in the previous submission - please ensure this includes their previous surname.

 

You then must create a new submission with their new name:

 

Complete Part A — Include the name and company number (EICN) - it must match exactly; otherwise, the system will create a new entry rather than updating the existing record.

 

Complete Part B or C — Include only the updated details of the individual. Make sure all information is accurate—the date of birth must match exactly.

 

How do I change our email address?

You must email uboregister@gibraltar.gov.gi from your current email address, specifying both your existing and the new address you'd like it updated to. We will forward your request to our IT team for processing.

 

How do I change the telephone number that receives receipts?

The phone number can be updated in your profile on either of the following sites, but not on the UBO register:

 Once logged in, click on your username at the top right (this will appear as an underlined link). Then click on [change] and follow the on-screen instructions to update your telephone number.
